This website is owned and operated by Learn with Mrs. Holben.com. These Terms set forth the terms and conditions under which you may use our website and services as offered by us. This website offers visitors opportunities to study English and history. By accessing or using the website of our service, you approve that you have read, understood, and agree to be bound by these Terms.

In order to use our website and/or receive our services, you must be at least [add number] years of age, or of the legal age of majority in your jurisdiction, and possess the legal authority, right and freedom to enter into these Terms as a binding agreement. You are not allowed to use this website and/or receive services if doing so is prohibited in your country or under any law or regulation applicable to you.

When buying a seat in a course you agree that: (i) you are responsible for reading the full item listing before making a commitment to buy it: (ii) you enter into a legally binding contract to purchase an item when you commit to buy an item and you complete the check-out payment process.

The prices charged for using our services / for our products are listed on the website. We reserve the right to change our prices for products displayed at any time, and to correct pricing errors that may inadvertently occur. Additional information about pricing and sales tax is available on the payments page. The fee for the services and any other charges you may incur in connection with your use of the service, such as taxes and possible transaction fees, will be charged on a monthly basis to your payment method.  

Refunds:  

This section of Terms and Conditions is for the purpose of effectively delivering online classes. It is made between Learn with Mrs. Holben.com and each individual student and his legal guardian(s) (“Parents”), and each person auditing a course ("Auditor") and his Parents. Mrs. Holben (“Teacher”) who will be an agent of Learn with Mrs.Holben course for all matters related to each course will be assigned to teach, grade learning assessments and assignments, and communicate Student’s progress with Parents.

Student Age: Learn with Mrs. Holben live course students, both part-time and full-time, must fall within the minimum and maximum age limits noted on the course prerequisites in the course listing. The maximum age cannot exceed 19 years old for any live course, audit course, or extracurricular/club.

Parental Responsibility: Parents are expected to assume primary responsibility for their Student’s education and to:
a.    Ensure each course is used by an individual Student.
b.    Ensure their Student is the appropriate age for the course.
c.    Ensure that if more than one Student is enrolled in the same course, each Student must have his own computer, headset, and microphone.
d.    Ensure their Student will have sufficient mastery of English writing skills, including grammar, vocabulary, and expression commensurate with the level of the course.
e.    Ensure their Student has a reasonable ability to type on a computer keyboard.
f.    Supervise Student’s academic work to ensure that assignments are completed in required formats and by due dates.
g.    Monitor Student’s learning assessments (tests, exams, etc.), as applicable, to ensure academic integrity.
h.    Procure all required equipment, books and materials, in the version stipulated by Veritas, needed for each registered course.
i.    Ensure that Internet and Learning Management System access, computer, a headset with microphone, and any additional technology such as a smartphone camera or scanner needed for Parents and Students are working properly.
j.    Ensure their Student makes every reasonable effort to be present for class.
k.    Stay current with teacher messages in the Learning Management System.
l.    Pay all tuition and fees in a timely manner

Attendance: Students are expected to attend all live online classes. Students will make every reasonable effort to be present for class. Class archives are available in the Learning Management System. Students are expected to watch archives and complete the Archive Viewing Report for any missed classes. Students are responsible for obtaining any notes or assignments and completing any graded material from any classes missed.

The Service and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music and all Intellectual Property Rights related thereto, are the exclusive property of Learn with Mrs. Holben. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works thereof.

You agree to indemnify and hold Learn with Mrs. Holben harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against them by any third party due to, or arising out of, or in connection with your use of the website or any of the services offered on the website.

To the maximum extent permitted by applicable law, in no event shall Learn with Mrs. Holben, be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, the service.

To the maximum extent permitted by applicable law, Learn with Mrs. Holben assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our service; and (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein.

Arbitration: Any claim or controversy arising out of or relating to the use of the Learn with Mrs. Holben website, registration in any classes or clubs, use of product(s), or any act or omission for which a Parent may contend that Learn with Mrs. Holben is liable, including but not limited to any claim or controversy as to arbitrability (dispute), shall be finally and exclusively settled by binding arbitration. Judgment upon any award rendered by the arbitrator may be entered by any state or federal court having jurisdiction in Johnson City, Tennessee. The arbitrator shall not have the power to award damages in connection with any dispute in excess of the actual compensatory damages and shall not multiply actual damages or award consequential, punitive or exemplary damages, and each party irrevocably waives any claim thereto.
Neither the Parent nor Learn with Mrs. Holben.com shall be entitled to join or consolidate claims in arbitration by or against other consumers or arbitrate any claim as a representative or member of a class or in a private attorney general capacity. The Parent voluntarily and knowingly waives any right they have to a jury trial. These terms provide that all disputes between the Parent and Learn with Mrs. Holben.com will be resolved by binding arbitration. The Parent thus gives up any rights to go to court to assert or defend his/her rights. The Parent also gives up his/her rights to participate in or bring class actions. Parent’s rights will be determined by a neutral arbitrator(s), not a judge or jury.
